THIS SWEEPSTAKES IS OFFERED ONLY IN THE 50 STATES OF THE UNITED STATES (“U.S.”) AND THE DISTRICT OF COLUMBIA (“D.C.”), AND IS INTENDED FOR PARTICIPATION IN THOSE AREAS ONLY. PLEASE DO NOT PROCEED IF YOU ARE NOT 18 YEARS OF AGE OR OLDER AND A PERMANENT LEGAL RESIDENT OF ONE OF THOSE AREAS. THIS SWEEPSTAKES SHALL BE CONSTRUED AND GOVERNED ACCORDING TO THE LAWS OF THE U.S.

1. Eligibility: The Sony Rewards Wish It / Win It Sweepstakes II (“Sweepstakes”) is open only to permanent legal residents of the 50 states of the U.S. and D.C., who are physically located and residing therein, and who are 18 years of age or older. If a registrant/entrant is 18 years of age or older but a resident of a jurisdiction that deems him/her to be a minor, he/she must obtain parental/legal guardian consent prior to entering or submitting any personally identifiable information. Employees of Sony Electronics Inc. (“Sponsor”), Chase Bank USA, N.A. (“Chase”), Klick Communications Inc., Sweepstakes administrator, their advertising or promotion agencies, those involved in the production, design, printing, development, implementation or handling of the Sweepstakes, any agents acting for, or on behalf of the above entities, their respective parent, subsidiary, and related companies, officers, directors, subsidiaries, affiliates, licensees, service providers, any other person or entity associated with the Sweepstakes (collectively “Sweepstakes Entities”), members of their immediate families (spouses, children, siblings, parents), and/or persons living in the same household as such persons, whether or not related, are ineligible to participate in the Sweepstakes.

2. Sweepstakes Description: This Sweepstakes begins at 12:00:01 a.m. Eastern Time (“ET”) on January 1, 2008, and ends at 11:59:59 p.m. ET on December 31, 2008 (“Sweepstakes Period”). The Sweepstakes consists of twelve (12) monthly sweepstakes drawings. Each monthly sweepstakes begins at 12:00:01 a.m. ET on the first day of the month and ends at 11:59:59 p.m. ET on the last day of that month with the last monthly sweepstakes ending at 11:59:59 p.m. ET on December 31, 2008. Eastern Time shall control for all purposes of this Sweepstakes. Sponsor’s computer shall be the official clock for purposes of the Sweepstakes. Prospective participants who are not already registered with Sony Rewards are prompted to register for Sony Rewards located at www.sonyrewards.com (“Web Site”) and to create a personal “Wish List” from Sony Rewards Catalog offerings which they could win up to a value of $5,000 or $10,000 as described below.

3. How to Enter: TO ENTER, YOU MUST BE REGISTERED WITH SONY REWARDS. IF YOU ARE ALREADY A SONY REWARDS MEMBER AS OF JANUARY 1, 2008, DO NOT REGISTER AGAIN. To enter. If you are already a Sony Rewards member as described above, access www.sonyrewards.com and log in with your Sony Rewards Username and Password. If you have a Sony Card and have not already registered your Sony Card, you will be asked to provide your Sony Card Number, Billing Zip Code, and Last 4 Digits of your Social Security Number. This information, if you choose to provide it, will be used to link your Sony Card information with your Sony Rewards information and for you to be eligible for up to $10,000 in Sony Rewards Catalog offerings from your Wish List instead of being eligible for a Sony Rewards Catalog offering of up to $5,000 from your Wish List. Having a Sony Card will NOT improve your ability to enter the Sweepstakes or win a prize. Once you are logged into the Sony Rewards site, click on “WISH LIST” from the navigation bar and follow the online instructions to create a Wish List from Sony Rewards Catalog offerings to enter this Sweepstakes. Catalog pricing is shown listed with points instead of in dollars. Each point has a value of one penny ($0.01). Once the Wish List is submitted you will be entered into the Sweepstakes (“Entry”). Registrants can revise their Wish Lists but all revisions must be complete and submitted for prize consideration. If determined a winner, Sponsor will use the existing member’s Wish List as of 11:59.59 p.m. ET on the last day of the monthly sweepstakes won. If you are not a Sony Rewards member, as described above, register to become one by accessing the Sony Rewards registration form at www.sonyrewards.com. You must complete the following information on the registration form: First Name; Last Name; Address; City; State; Zip Code; Email Address; Gender; Date of Birth; and your choice of Username and Password (collectively, “Registration Information”). As part of the registration process, if you have a Sony Card, you can register it by providing your Sony Card Number, Billing Zip Code, and Last 4 Digits of your Social Security Number. This information, if you choose to provide it, will be used to link your Sony Card information with your Sony Rewards information and for you to be eligible for up to $10,000 in Sony Rewards Catalog offerings from your Wish List instead of being eligible for a Sony Rewards Catalog offering of up to $5,000 from your Wish List. Having a Sony Card will NOT improve your ability to enter the Sweepstakes or win a prize. There is no fee to register. All Registration Information must be completed in full. Once registered with Sony Rewards, follow the above instructions to enter this Sweepstakes. Proof of delivery or receipt of an Entry will not be deemed by Sponsor as proof of receipt (or entry) by Sponsor. Any attempted form of participation in this Sweepstakes other than as described herein is void. Each participant can only register and participate in this Sweepstakes under one (1) Sony Rewards registration. Such registration shall consist of one (1) Username and one (1) email address. Once a Username and email address has been registered by a participant, that Username and/or email address cannot be used by any other person for the Sweepstakes (or to register at Web Site). Participants who have more than one (1) Sony Rewards registration will be disqualified from the Sweepstakes.

4. How to be Eligible to Win Up to $10,000 in Sony Rewards Catalog offerings from your Wish List. If you are officially declared a winner (described below) in this Sweepstakes and, if you are a named account holder of an activated Sony Card credit card registered with Sony Rewards, then, you will win your Wish List up to $10,000 in Sony Rewards Catalog offerings instead of a Sony Rewards Catalog offering up to $5,000. If you are not currently an account holder of a Sony Card, you can apply for a Sony Card by going to www.sony.com/sonycard and following the application instructions. To be eligible as a Sony Rewards member for up to $10,000 in Sony Rewards Catalog offerings from your Wish List, without having or applying for or registering a Sony Card account, legibly handprint your First Name, Last Name, Sony Rewards Username, Address (no P.O. Boxes), City, State, Zip, Phone Number (including area code), Email Address, and Date of Birth on a standard sized postcard (no larger than 5” x 7”), enclosed in a postage-paid business size envelope (#10), and mail it to: Sony Card Bonus Entry, P.O. Box 7489, Burbank, CA 91510 (“Sony Card Bonus Entry”). To be eligible for up to $10,000 in Sony Rewards Catalog offerings from your Wish List, your Sony Card Bonus Entry must be received no later than the end date for that monthly sweepstakes. Limit one (1) Sony Card Bonus Entry per person for the entire Sweepstakes. Proof of delivery or receipt of a Sony Card Bonus Entry will not be deemed by Sponsor as proof of receipt by Sponsor. If you do not have an activated Sony Card credit card registered with Sony Rewards and/or have not submitted a Sony Card Bonus Entry, and are determined a winner as described herein, you can only win a Sony Rewards Catalog offering up to $5,000 from your Wish List. If you have submitted a Sony Card Bonus Entry for a previous Sony Rewards Wish It / Win It Sweepstakes, you must submit a Sony Card Bonus Entry for this Sweepstakes to be eligible. Applying for or possessing an activated Sony Card credit card does not improve one’s chances of winning a Sony Card Bonus Prize.

5. Prizes / Odds of Winning. Twelve (12) Prizes (one (1) prize for each of the twelve (12) monthly sweepstakes): Up to $5,000 or $10,000 of Sony Rewards Catalog offerings from winner’s Sony Rewards Wish List. Prize value depends on whether winner has an activated Sony Card account in good standing registered with Sony Rewards or submitted a Sony Card Bonus Entry, as described above. Winners who have an activated Sony Card account (in “good standing,” as determined by Chase in its sole discretion) registered with Sony Rewards or who have submitted a Sony Card Bonus Entry as described in Section 4 will be awarded Sony Rewards Catalog offerings from their Wish List, valued at up to $10,000. Winners who do not have an activated Sony Card account in good standing registered with Sony Rewards and/or have not submitted a Sony Card Bonus Entry as described in Section 4 will be awarded a Sony Rewards Catalog offering from their Wish List, with a stated value up to $5,000. Wish List value will be based on pricing on the day the winner confirms their product selection. If Sony Rewards Catalog offering(s) comprising an eligible winner’s Wish List is/are less than the awarded value, he/she will only win that/those Sony Rewards Catalog offering(s) on his/her Wish List as of the last day of the given month at 11:59:59 p.m. ET and no additional compensation will be awarded. Sony Rewards Catalog offerings awarded subject to availability. As applicable, Sponsor reserves the right, in its sole discretion, to replace any Sony Rewards Catalog offering in winner’s Wish List with a newer model or version of same; but, in such event, Sponsor will continue to use the value of the “old” [i.e., replaced] Sony Rewards Catalog offerings for purposes of calculating whether Wish List Sony Rewards Catalog offering(s) have met the awarded prize value. Odds of winning a prize for a particular monthly sweepstakes depend upon the total number of eligible Entries received by the end date/time for that monthly sweepstakes. Total ARV of all prizes: up to $120,000. Limit one (1) prize per person for the entire Sweepstakes Period. No transfer, substitution or cash equivalent for prizes, except that Sponsor at its sole discretion may substitute a prize of equal or greater value due to prize unavailability for any reason. Any depiction of prizes, in promotional materials or otherwise, is for illustrative purposes only. All expenses not specifically mentioned as being included (e.g., any required installation, requested upgrades/options) are excluded and are each winner’s sole responsibility. Merchandise prizes only come with standard Sony Electronics manufacturer’s warranty. Prizes will be shipped to street addresses in the 50 states of the U.S. and D.C. only. Sweepstakes administrator is not the supplier or guarantor of any prize.

6. Drawing. For each monthly sweepstakes, one (1) potential winner will be randomly selected from all eligible Entries received by the end date/time for that particular monthly sweepstakes in a drawing to be held on or about the first business day following the end date for that particular monthly sweepstakes (“Drawing Date”), by Sweepstakes administrator, an independent judging organization. Nonwinning eligible Entries and Sony Card Bonus Entries will be retained for subsequent monthly sweepstakes drawings. Winning Usernames for potential winners selected in the drawings will be posted on the Web Site as described below.

7. Notification and Verification of Winners. To check if you won a particular monthly sweepstakes, access the Web Site between the 5^th and 12^th calendar day after the end date/time of that particular monthly sweepstakes for the posted winning Username for this Sweepstakes. If the posted winning Username belongs to you, follow the online instructions to confirm your winning status. You MUST access the verification page accessible from the Web Site to confirm your winning status to win a prize. Upon completing the verification process, if your Username was posted as the winning Username for a monthly sweepstakes, you will be immediately notified online that you are a potential winner. If a potential winner does not complete the verification process between the 5^th and 12^h calendar day after the end date/time of that particular monthly sweepstakes, he/she will forfeit any prize eligibility for that monthly sweepstakes. If the Sweepstakes entrant is a potential winner, such potential winner (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) will then be notified by phone within three (3) business days of the date he/she checked his/her winning status to complete an Affidavit of Eligibility, a Liability Release, and (where legal) a Publicity Release (“Affidavit/Release”). Each potential winner (if a minor, his/her parent/legal guardian acting on his/her behalf) will be required to execute an Affidavit/Release, which must be signed, notarized, and returned along with any other documents or forms Sponsor may require within seven (7) business days of his/her receipt, or such winner may be disqualified. If a potential winner cannot be reached after a reasonable effort has been exerted, if he/she is found to be ineligible, if he/she cannot or does not comply with these Official Rules, such potential winner will be disqualified.

8. Additional Terms and Disclaimers: Sweepstakes Entities are not responsible or liable for Entries or Sony Card Bonus Entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), in excess of the stated limits, or for Entries or Sony Card Bonus Entries that are illegible, late, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, incomplete, or for Sony Card Bonus Entries that are mass machine printed, mechanically, postage-due, or for Entries or Sony Card Bonus Entries that are otherwise not in compliance with these Official Rules and all such Entries or Sony Card Bonus Entries will be disqualified. If a winner is a minor under applicable law, then the prize may, at Sponsor’s sole discretion, be awarded in the name of, or to, that minor’s parent or legal guardian. Sweepstakes subject to these Official Rules and all federal, state and local laws. Sponsor reserves the right to suspend, cancel or modify the Sweepstakes if fraud, misconduct or technical failures destroy the integrity of the Sweepstakes; or if a computer virus, bug, or other technical problem corrupts the administration, security, or proper administration of the Sweepstakes as determined by Sponsor in its sole discretion. In the event of suspension/modification/termination of the Sweepstakes, a notice will be posted at Web Site, and the affected monthly drawing(s) will be conducted from among all eligible Entries received for such affected monthly drawing(s) prior to and/or after (as appropriate) the action taken by Sponsor. Any person attempting to forge or tamper with the Sweepstakes or otherwise defraud Sponsor will be prosecuted to the full extent of the law and will be ineligible to win a prize. By participating, participants (if a minor, his/her parent/legal guardian) agree to release, discharge and hold harmless Sweepstakes Entities from losses/injuries of any kind, including personal injury and/or death, resulting from participation in the Sweepstakes, including but not limited to disputes over Sony Rewards Catalog offering(s) and the respective values or the acceptance/possession, use/misuse of a prize by winners of prizes; shipping delays of prize merchandise; prize unavailability, human error; incorrect or inaccurate transcription of Entry/Sony Card Bonus Entry/Registration Information; any technical malfunctions of the telephone network, computer online system, computer dating mechanism, computer equipment, software, or internet service provider utilized by the Sweepstakes or participant; interruption or inability to access the Sweepstakes, Web Site, or any online service via the internet due to hardware or software compatibility problems; any damage to entrant’s (or any third person’s) computer and/or its contents related to or resulting from any part of the Sweepstakes; any lost/delayed data transmissions, omissions, interruptions, defects; and/or any other errors or malfunctions, even if caused by the negligence of one of the Sweepstakes Entities. Each participant further agrees to indemnify and hold harmless the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes and to release all rights to bring any claim, action or proceeding against the Sweepstakes Entities. Sweepstakes Entities are also not responsible for any typographical or other error contained in the Official Rules. IN NO EVENT WILL SWEEPSTAKES ENTITIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN THIS SWEEPSTAKES, ANY PRIZE AWARDED HEREUNDER, YOUR ACCESS TO AND USE OF THE SWEEPSTAKES WEB SITE OR THE DOWNLOADING FROM AND/OR PRINTING OF MATERIAL DOWNLOADED FROM THE WEB SITE. Return of any prize notification or prize as undeliverable may result in forfeiture of prize and/or disqualification of winner at Sponsor’s sole discretion. Sweepstakes void where prohibited by law and subject to all applicable federal, state and local laws. All federal, state or other tax liabilities (including, but not limited to, income taxes) arising from Sweepstakes will be the sole responsibility of each winner. Each winner will receive an IRS Form 1099 from Sponsor/Sponsor’s representative, for the year in which he/she was officially declared a winner, in the amount of the total value of Sony Rewards Catalog offering(s) won from his/her Wish List as of the last day of the given monthly sweepstakes won. Unless provided otherwise by Sponsor’s privacy policy, located at http://www.sonyrewards.com/en/footer/privacy_legal/, where permitted by law, participation and acceptance of prize constitutes permission for Sponsor and Chase to use such winner’s name, photograph, likeness, statements, voice, biographical information and address (city and state) for advertising/trade/publicity purposes worldwide and in all forms of media now known or hereinafter devised, in perpetuity, without further notice, permission or compensation, in connection with Sweepstakes, or the prize(s) awarded, and the advertising and marketing thereof. Additionally, by opting-in to specific offers from any of the Sweepstakes Entities, participant’s Registration Information will be subject to their respective privacy policies and terms of service, and participant agrees to receive additional email communication from those companies. The privacy policy for any Sweepstakes Entity participating in an opt-in will be accessible from the registration form. Opting in to specific offers does not improve one’s chances of winning. Participants also agree to be bound by the Official Rules and decisions of Sponsor and/or Sponsor’s representatives, which are final and binding in all respects, and waive any right to claim any ambiguity in these Official Rules or Sweepstakes materials. Submitted Entries and Sony Card Bonus Entries become the sole property of Sponsor and will not be acknowledged or returned. In case of a dispute over the identity of an entrant who submitted an Entry, at Sponsor’s sole discretion, the authorized account holder of the email address associated with that Entry will be deemed the entrant. The “authorized account holder” is deemed the natural person who is assigned to an email address by an Internet access provider, service provider or other online organization that is responsible for assigning email addresses for the domain associated the relevant email address. Said owner must comply with these Official Rules and, at Sponsor’s sole discretion, may be required to provide proof of ownership of the email account.

9. GOVERNING LAW/JURISDICTION: Any controversy or claim arising out of or relating to (i) the Sweepstakes, (ii) the awarding or redemption of any prize and/or (iii) the determination of the scope or applicability of these Official Rules or their enforcement or interpretation shall be governed by and construed in accordance with the substantive laws of the State of New Jersey without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws. Entrant agrees that his/her claim will be resolved individually, without resort to any form of class action. Entrant further agrees that any claim/judgment/award shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in the Sweepstakes but in no event attorneys' fees; and, under no circumstances, will an entrant be entitled to awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or increased. Should any term of this Section be deemed void, unenforceable or contrary to law, such term shall, but only to the extent necessary to bring this Section within the requirements of law, be deemed to be severed from the other terms of these Official Rules, and the remainder of these Official Rules shall be given effect as if it had not included the severed term herein.

THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS AGREEMENT WHETHER SOUNDING IN CONTRACT OR TORT, AND INCLUDING ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF.

10. OFFICIAL RULES/WINNERS LIST: An additional copy of these Official Rules by which all participants are bound, or the names of winners, may be obtained by sending a self-addressed, stamped envelope to: Sony Rewards Wish It / Win It Sweepstakes II “Rules” or “Winners List” (specify which), P.O. Box 10901, Burbank, CA 91510 to be received no later than March 3, 2009. Winners will also be posted on the Web Site.
