THIS SWEEPSTAKES IS OFFERED ONLY IN THE 50 STATES OF THE UNITED STATES (“U.S.”) AND THE DISTRICT OF COLUMBIA (“D.C.”), AND IS INTENDED FOR PARTICIPATION IN THOSE AREAS ONLY. PLEASE DO NOT PROCEED IF YOU ARE NOT AT LEAST 18 YEARS OF AGE OR OLDER AND A PERMANENT LEGAL RESIDENT OF ONE OF THE 50 STATES OF THE U.S. OR D.C. THIS SWEEPSTAKES SHALL BE CONSTRUED AND GOVERNED ACCORDING TO THE LAWS OF THE U.S. 

1. Eligibility: The Wheel Watchers Club Ultimate Fan Experience Sweepstakes  (“Sweepstakes”) is open only to permanent legal residents of the 50 states of the U.S. and D.C., who are physically located and residing therein, who are 18 years of age or older as of October 5, 2009, and who are Wheel Watchers Club members.  Entrants must have either a valid social security number and/or a valid U.S. personal tax identification number to participate.  Employees of Quadra Productions, Inc. (“Sponsor”), Sony Electronics Inc., Sony Pictures Television Inc., Sony Pictures Digital Inc., Sony Pictures Entertainment Inc., CBS Television Distribution, the show Wheel of Fortune (“Show”), Klick Communications Inc., Sony Corporation of America Inc., Chase Bank USA, N.A., Sweepstakes administrator, their advertising or promotion agencies, those involved in the production, development, implementation or handling of the Sweepstakes, participating stations, stations airing Show, any agents acting for, or on behalf of the above entities, their respective parent, subsidiary, and related companies, officers, directors, subsidiaries, affiliates, licensees, service providers, any other person or entity associated with the Sweepstakes (collectively “Sweepstakes Entities”), members of their immediate families (spouses, children, siblings, parents), and/or persons living in the same household as such persons, whether or not related, are ineligible to participate in the Sweepstakes.

2.  Sweepstakes Description: The Sweepstakes begins at 12:00:01 a.m. Pacific Time (“PT”) on October 5, 2009 and ends at 11:59:59 p.m. PT on September 30, 2010 (“Sweepstakes Period”).  This Sweepstakes consists of twelve (12) individual nonconnective monthly sweepstakes (see Entry Deadline Chart (“Chart”) below for the entry deadline of each monthly sweepstakes).  As part of the entry process for this Sweepstakes, Wheel Watchers Club members are asked to watch the Show each weekday (Monday through Friday) for the solution to each day's Bonus Round Puzzle ("Bonus Round Puzzle Solution").  Then, Wheel Watchers Club members are asked to go to the Wheel Watchers Club on Sony Rewards web site located at www.sonyrewards.com/wof (the “Web Site”) to access the Wheel Watchers Club home page and correctly input/submit at least twelve (12) Bonus Round Puzzle Solutions within a given month to achieve “Jackpot Level” status and be entered into the current monthly sweepstakes and the immediately following monthly sweepstakes.  The Bonus Round Puzzle is the puzzle played by the contestant who has the highest cash/prize total at the end of the main game on the Show.  Check local listings for Show schedule, which may be changed or preempted without notice (e.g., due to remote Show tapings and other changes to the production schedule, special announcements, or programs that may disrupt normal TV programming such as professional football games shown on Mondays). In these cases, at the election of the Show, the Sweepstakes may be played outside the usual dates and times, or not at all.

3.  How to Participate and Enter: YOU MUST HAVE ONLINE ACCESS AND BE REGISTERED WITH THE WHEEL WATCHERS CLUB TO PARTICIPATE IN THIS SWEEPSTAKES.    

i.  Wheel Watchers Club members can participate by logging in to the Wheel Watchers Club on Sony Rewards home page located at www.sonyrewards.com/wof, and playing the nightly Bonus Round Puzzle by submitting the correct Bonus Round Puzzle Solution where indicated for the Show date noted.  Once a Wheel Watchers Club member successfully completes at least twelve (12) Bonus Round Solutions for a given month and achieves Jackpot Level status, he/she will receive one (1) entry into the current and immediately following monthly sweepstakes (“Online Entry”).  The Bonus Round Puzzle Solution available for completion will change each day at 2:00:00 p.m. PT to reflect the current Show date in which you can participate.  Bonus Round Puzzle Solutions must be correct to be eligible for Online Entry.  Limit one (1) Online Entry per person / email address per monthly sweepstakes.  Online Entries for the same person in excess of this limit will be disqualified.  For each monthly sweepstakes, Online Entries must be completed / received by the Online Entry Deadline for that particular monthly sweepstakes (see Chart below).  Sponsor’s computer is the official clock for all purposes of this Sweepstakes.

ii. Sony Rewards members who are not already Wheel Watchers Club members can participate by logging in to the Sony Rewards home page located at www.sonyrewards.com, clicking on “Your Account” and then “Update Communication Preferences” and then checking the opt-in box to participate in the Wheel Watchers Club.  Once registered with the Wheel Watchers Club, enter as described above in Section 3.i.  

iii.  If you are not a registered Wheel Watchers Club member, you can register by accessing the Wheel Watchers Club on Sony Rewards web site located at www.sonyrewards.com/wof and following the online instructions to sign up for Sony Rewards and opting-in to become a Wheel Watchers Club member by providing the following information on the registration form:  First Name; Last Name; Address; City; State; Zip Code; E-mail Address; Gender; Date of Birth; and your choice of Username and Password (collectively, “Sony Rewards Registration Information”). Once registered with the Wheel Watchers Club, enter as described above in Section 3.i. 

There is no fee to register for the Wheel Watchers Club.  If a registrant is a resident of a jurisdiction that deems him/her to be a minor, he/she must obtain parental/legal guardian consent prior to registering or submitting any personally identifiable information.  Participants can only register and participate in the Sweepstakes under one (1) Username and one (1) email address.  Once an email address has been registered by a participant, that email address cannot be used by any other person for the Sweepstakes (or to register).  Only the participant registered under a particular email address may participate in the Sweepstakes.

To enter without successfully completing at least twelve (12) Bonus Round Puzzle Solutions, legibly hand print your First Name, Last Name, Home Address (no P.O. Boxes), City, State, Zip, Phone (including area code), Gender (optional), Date of Birth, and your Wheel Watchers Club Username on a postcard (no larger than 4” x 6”) or on a piece of paper enclosed in a business size (#10) envelope, and mail, with proper postage affixed, to: Wheel Watchers Club Ultimate Fan Experience Sweepstakes, P.O. Box 10938, Burbank, CA 91510 (“Mail Entry”). In order to submit a Mail Entry, you must already be a Wheel Watchers Club member. Wheel Watchers Club members who submit a Mail Entry will receive one (1) entry into the current and immediately following monthly sweepstakes.  Limit one (1) Mail Entry per outer mailing envelope.  Mail Entries must be sent by postal mail, be mailed separately, and received by the Mail Entry deadline for that monthly sweepstakes (see Chart below).  No copies, facsimiles, or reproductions of Mail Entries will be accepted.  

All Sony Rewards Registration Information and required Mail Entry information must be completed in full.  Online Entries and Mail Entries (collectively, Sweepstakes Entries”) must be completed / received by the applicable deadline stated in the Chart below.  Sponsor’s computer is the official clock for purposes of Sweepstakes participation.  Proof of delivery or receipt of a Sweepstakes Entry will not be deemed by Sponsor as proof of receipt by Sponsor.  Any attempted form of participation in the Sweepstakes other than as described herein is void.

4. Drawing and Notification of Potential Winners: For each monthly sweepstakes, one (1) potential winner will be randomly selected from among all eligible Sweepstakes Entries completed / received for that particular monthly sweepstakes by the Sweepstakes administrator, an independent judging organization.  Non-winning eligible Sweepstakes Entries will be retained for the subsequent monthly sweepstakes drawing, but not to exceed eligibility for a total of two (2) monthly sweepstakes drawings.  All drawings will be held on or about one (1) week after the Mail Entry Receipt Date for that particular monthly sweepstakes.  Each potential winner (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) will be notified by phone (email if phone number was not provided on registration) within two (2) weeks of the drawing date.  If a potential winner cannot be reached after a reasonable effort has been exerted, if he/she is found to be ineligible, if he/she cannot or does not comply with these Official Rules, or if his/her prize or prize notification is returned as undeliverable, such potential winner will be disqualified, and an alternate potential winner for such prize may be selected at Sponsor’s sole discretion.

5. Prizes/Odds of Winning.  Twelve (12) Prizes (one (1) prize for each of the twelve (12) monthly sweepstakes): Each Prize is a Trip to be shared by winner and one (1) guest (“Guest”) to Los Angeles, CA consisting of round-trip coach-class air transportation from a major commercial airport near winner’s residence (as determined by Sponsor in its sole discretion) to Los Angeles, CA; standard hotel accommodations (single room/double occupancy) for three (3) nights; a tour of Sony Pictures Studios, $800 spending money which will be provided in the form of a check made out to winner; the opportunity for winner only to attend and audition for a chance to be a contestant on the Wheel of Fortune show (‘Audition”); and ground transportation to/from hotel and location of Audition.  Approximate Retail Value (“ARV”) of each Prize is: $2,500. Odds of winning a prize depend on the total number of eligible Sweepstakes Entries completed / received for that particular monthly sweepstakes.  Additional compensation will not be provided if value of prize is less than stated ARV.  Sponsor reserves the right to award trip “as is” and to structure travel route in its sole discretion.  Air transportation provided only if a winner does not reside within 100 miles of Los Angeles, CA.  Trip may not be exchanged for another destination except by Sponsor in its sole discretion.  Round-trip coach-class air transportation element will generally begin and end at a major commercial U.S. airport near winner’s hometown (at Sponsor’s sole discretion).  In order to attend Audition, each winner must travel during the Show’s production / Audition schedule and on dates selected by Sponsor at its sole discretion, subject to availability and production exigencies.  YOU CAN ONLY BE A CONTESTANT ON WHEEL OF FORTUNE ONCE IN YOUR LIFETIME.  ELIGIBILITY FOR AUDITION AND TO BE A CONTESTANT ON WHEEL OF FORTUNE IS ALSO SUBJECT TO THE CONDITIONS AND RESTRICTIONS AVAILABLE AT THE “CONTESTANTS AND TICKETS” SECTION OF THE WHEEL OF FORTUNE WEB SITE (HTTP://WWW.WHEELOFFORTUNE.COM) WHICH IS MADE A PART OF THESE OFFICIAL RULES AND INCORPORATED HEREIN BY REFERENCE.  IT IS THE RESPONSIBILITY OF WINNERS TO REVIEW THOSE CONDITIONS AND RESTRICTIONS LISTED ON THE AFOREMENTIONED WEB PAGE TO DETERMINE THEIR ELIGIBILITY TO BE A CONTESTANT ON WHEEL OF FORTUNE.  A WINNER’S OPPORTUNITY TO AUDITION AND ANY POSSIBLE SUBSEQUENT APPEARANCE ON THE WHEEL OF FORTUNE SHOW ARE ALSO SUBJECT TO PRODUCER’S REQUIREMENTS AND SOLE DISCRETION, AND, PRIOR TO AUDITION, EACH WINNER WILL BE REQUIRED TO SIGN PRODUCER’S FULL STANDARD RELEASE AND TO SUBMIT TO PRODUCER’S STANDARD INTERVIEW AND SCREENING PROCESS AND ANY OTHER REQUIRED DOCUMENTATION.  IF A WINNER CANNOT TAKE PRIZE IN CONJUNCTION WITH AUDITION DESIGNATED BY SPONSOR, AT ITS SOLE DISCRETION, OR IS INELIGIBLE TO PARTICIPATE IN AUDITION AS DESCRIBED ABOVE, SUCH WINNER WILL HAVE ONE (1) YEAR FROM NOTIFICATION OF WINNING TO TAKE TRIP WITHOUT WHEEL OF FORTUNE PRIZE COMPONENTS.  AUDITION DOES NOT GUARANTEE AN APPEARANCE ON THE WHEEL OF FORTUNE SHOW.  IF A WINNER PASSES AUDITION AND IS ASKED TO BE A CONTESTANT, SUCH WINNER WILL BE RESPONSIBLE FOR ALL EXPENSES ASSOCIATED WITH BEING A CONTESTANT ON THE WHEEL OF FORTUNE SHOW (E.G., TAPE DATE FOR A WINNER WHO IS ASKED TO BE A CONTESTANT WILL NOT OCCUR DURING THIS PRIZE TRIP AND SUCH WINNER WILL BE REQUIRED TO ARRANGE AND PAY FOR HIS/HER TRAVEL IF HE/SHE WANTS TO BE A CONTESTANT).  All trips are subject to air/ground travel availability, hotel availability, and black-out dates and are subject to the specific terms and conditions set forth by travel prize suppliers and Sponsor.  Once travel has been confirmed, any cancellation or change fees or restructuring of travel are the sole responsibility of such winner and his/her Guest as applicable.  Each winner must have/present at least one major credit card in good standing in order to check into room.  Each winner and his/her respective Guest must travel together on the same itinerary and in the same class of air travel.  If a winner elects to travel alone, no substitute compensation will be awarded.  If a component of a prize is not available during time of a winner’s trip for whatever reason (e.g., postponement/cancellation of Audition), that portion of the prize will be forfeited, and no compensation will be awarded in lieu thereof.  Items not specifically mentioned as being included as part of a prize are the sole responsibility of each winner and his/her Guest and may include ground transportation to and from airport, airport tax, travel tax, travel insurance, room service, laundry service, spa treatments, meals, alcoholic beverages, hotel incidentals, local and long distance telephone calls, gratuities, personal items, government fees, and all other costs and expenses not otherwise mentioned herein.  Each winner and his/her Guest are solely responsible for providing all necessary identification documents.  Failure to provide such documents may result in trip cancellation upon airport check-in.  If a winner is a resident of a jurisdiction that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian, and such person must pay his/her own expenses unless deemed to be an allotted Guest.  If a Guest is a resident of a jurisdiction that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian, and such person must pay his/her own expenses unless deemed to be a winner.  Attendance at Audition is available only for winners, unless a winner is a resident of a jurisdiction that deems him/her to be a minor, in which case he/she must be accompanied by his/her parent/legal guardian at Audition at such person’s own expense. The prize restrictions/conditions stated herein are not all-inclusive and may be subject to additional restrictions/conditions, which may be stated in the Affidavit/Release (described below) and/or prize travel documents.  Terms of Affidavit/Release and any documents provided by prize suppliers are incorporated herein by reference.  All applicable federal, state, and local taxes on a prize are the sole responsibility of each winner.  No substitution, transfer, or redemption of prize (or prize component) for cash, except that Sponsor, at its sole discretion, may substitute a prize of equal value due to unavailability of advertised prize for any reason.  Any depictions of prizes are for illustrative purposes only.  Limit one (1) prize per Wheel Watchers Club member for the entire Sweepstakes Period.  Each winner will receive an IRS Form 1099 from the Sponsor for the calendar year the prize was taken for the total ARV of the prize(s) as determined by the prize coordinator/supplier, as applicable.  The Sweepstakes administrator is not the supplier or guarantor of any prize. 

 6. General Conditions: This Sweepstakes is subject to these Official Rules and all federal, state and local laws and regulations (collectively “Rules and Laws”).  Each potential winner (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) will be required to sign, execute, have notarized, and return an Affidavit of Eligibility, a Liability Release, a Publicity Release, and any other documentation that the Sweepstakes Administrator and/or Sponsor may require (collectively “Affidavit/Release”), within five (5) days after receipt or such potential winner may be disqualified.  If a winner is a resident of a jurisdiction that deems him/her to be a minor, such winner’s prize may be awarded in the name of his/her parent/legal guardian.  Winner’s Guest (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) will be required to execute, have notarized, and return a Liability Release, a Publicity Release and any other documentation that the Sweepstakes Administrator and/or Sponsor requires (“Guest Releases”) within five (5) days after receipt by such potential winner. By returning a completed Affidavit/Release and, if applicable, Guest Release, such winner and Guest, respectively, attest to the provisions stated therein including compliance with these Official Rules.  Once submitted, Sony Rewards Registration Information and Mail Entry information become the sole property of Sponsor.  Notwithstanding anything to the contrary in Sony Rewards’ privacy policy located at  http://www.sonyrewards.com/en/footer/privacy_legal/, except where prohibited by law, a participant who submitted his/her Sony Rewards Registration or Sweepstakes Entry information and/or a winner’s acceptance of a prize constitutes permission of such entrant or winner (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) for Sponsor, Sony Electronics Inc., Sony Pictures Entertainment Inc., Sony Pictures Digital Inc., and/or Sony Corporation of America Inc., to use, without notice or further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, including, but not limited to, without limitation, on the Wheel of Fortune or Sony Rewards Web site, winner’s first name and initial of last name, city and state.  In addition, except where prohibited by law, the completion of an Affidavit/Release by a winner and Guest Release by his/her Guest constitutes permission of such winner and Guest (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) for Sponsor, Sony Electronics Inc., Sony Pictures Entertainment Inc., Sony Pictures Digital Inc., and/or Sony Corporation of America Inc., to use, without notice or further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, including, but not limited to, without limitation, on the Web Site or the Sony Rewards web site, and on the Show, such winner’s and his/her Guest’s full name, city, state, likeness, voice, photos, videos, biographical information and statements made by such winner and his/her Guest for purposes of advertising, trade, promotion and publicity.  Additionally, by opting-in to specific offers from any of the Sweepstakes Entities, Sony Rewards Registration Information will be subject to their respective privacy policies and terms of service and registrant agrees to receive additional email communication from those companies.  Opting-in to specific offers does not improve one’s chances of winning.  The privacy policy for any Sweepstakes Entity participating in an opt-in will be accessible from the Wheel Watchers Club or Sony Rewards registration form, as applicable.  Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the registration process or the operation of the Sweepstakes or any Web page related to the Sweepstakes; to be acting in violation of the Official Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person in connection with the Sweepstakes.  Any person attempting to defraud or in any way tamper with this Sweepstakes will be ineligible to win a prize and will be prosecuted to the full extent of the law.  If, for any reason, the Sweepstakes is not capable of running as originally planned (e.g., Show schedule changes), Sponsor, at its sole discretion, reserves the right to cancel, suspend or modify the Sweepstakes or any portion(s) thereof; and, at its sole discretion, Sponsor may, conduct the Sweepstakes and make prizes available in a manner that is fair, consistent, and in accordance with the spirit of the Sweepstakes. In case of a dispute over the identity of a participant who is a potential winner, the authorized account holder of the email address associated with the Username may be deemed, in Sponsor’s sole discretion, the entrant.  The "authorized account holder" is deemed the natural person who is assigned to an email address by an Internet access provider, service provider or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email address.  Said owner must comply with these Official Rules and, at Sponsor’s sole discretion, may be required to provide proof of ownership of the email account.

7.  Disclaimers: The Sweepstakes Entities are not responsible or liable for, and will deem ineligible, Sweepstakes Entries that are entered/obtained by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), or for Sweepstakes Entries that are illegible, destroyed, lost, misplaced, stolen, misdirected, postage-due, mutilated, tampered with, incomplete, deleted, damaged, or otherwise not in compliance with these Official Rules.  By registering or opting-in to participate in this Sweepstakes, each registrant agrees and acknowledges to be bound by the Rules and Laws; as well as the decisions of the Sweepstakes Administrator, which are final and binding in all respects; to waive any rights to claim ambiguity with the Rules and Laws, and that Sweepstakes Entities shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with: participation in this Sweepstakes (including, but not limited to, the preemption, cancellation, interruption of Show or any elements of Show as it relates to the Sweepstakes); human error; incorrect or inaccurate transcription of Sony Rewards Registration and Mail Entry information; acceptance/possession and/or use/misuse of any prize awarded herein (including, but not limited to, cancellations and delays or any change by the air carrier(s), or other company or any other persons providing any of these services for any winner and his/her Guest during the trip a winner won due to reasons beyond control of Sponsor and/or Sweepstakes Entities); any technical malfunctions of the telephone network, computer online system, computer dating mechanism, computer equipment, software, internet service provider; interruption or inability to access the Sweepstakes, any Web page associated with the Sweepstakes, or any online service via the internet due to hardware or software compatibility problems; problems with phone verification; any damage to registrant’s (or any third person’s) computer and/or its contents related to or resulting from any part of this Sweepstakes; any lost/delayed/duplicate/multiple data transmissions, omissions, interruptions, defects and/or any other errors or malfunctions, even if caused by the negligence of one of the Sweepstakes Entities.  Registrants further agree to indemnify and hold harmless the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes due to their negligence or willful misconduct, to release all rights to bring any claim, action or proceeding against the Sweepstakes Entities, and hereby acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize.  Sweepstakes Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused or contributed to (1) by any wrongful, negligent or unauthorized act or omission on the part of the prize supplier or any of its agents, servants, employees or independent contractors, (2) by any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of Sponsor, or (3) by any other cause, condition or event whatsoever beyond the control of Sponsor or their parents, subsidiaries and affiliated companies.  The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules.  

8.  ARBITRATION; WAIVER OF INJUNCTIVE RELIEF; GOVERNING LAW:  ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO (i) THE SWEEPSTAKES, (ii) THE AWARDING OR REDEMPTION OF ANY PRIZES AND/OR (iii) THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THESE OFFICIAL RULES OR THEIR ENFORCEMENT ON INTERPRETATION SHALL BE GOVERENED BY AND CONSTRUED IN ACCORDANCE WITH THE SUBSTANTIVE LAWS OF THE STATE OF CALIFORNIA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.  BY SUBMITTING A SWEEPSTAKES ENTRY, EACH ENTRANT (AND HIS/HER PARENT/LEGAL GUARDIAN IF THE ENTRANT IS A MINOR IN THE JURISDICTION HE/SHE RESIDES) AGREES THAT ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THESE OFFICAL RULES, THEIR ENFORCEMENT, ARBITRABILITY OR INTERPRETATION SHALL BE SUBMITTED TO FINAL AND BINDING ARBITRATION, TO BE HELD IN LOS ANGELES, CALIFORNIA BEFORE A SINGLE ARBITRATOR, IN ACCORDANCE WITH CALIFORNIA CODE OF CIVIL PROCEDURE §§ 1280 ET SEQ.  THE ARBITRATOR SHALL BE SELECTED BY MUTUAL AGREEMENT OF THE PARTIES OR, IF THE PARTIES CANNOT AGREE, THEN BY SELECTING AN ARBITRATOR FROM A LIST OF ARBITRATORS SUPPLIED BY JAMS (JUDICIAL ARBITRATION AND MEDIATION SERVICES WITH THE AGREEMENT OF THE PARTIES’ ADR SERVICES).  IF THE PARTIES STILL CANNOT AGREE ON AN ARBITRATOR, THE ARBITRATOR SHALL BE APPOINTED BY THE ARBIGRATION SERVICE. THE ARBITRATION SHALL BE A CONFIDENTIAL PROCEEDING, CLOSED TO THE GENERAL PUBLIC.  THE ARBITRATOR SHALL ISSUE A WRITTEN OPINION STATING THE ESSENTIAL FINDINGS AND CONCLUSIONS UPON WHICH THE ARBITRATOR’S AWARD IS BASED. THE PARTIES WILL SHARE EQUALLY IN PAYMENT OF THE ARBITRATOR’S FEES AND ARBITRATION EXPENSES AND ANY OTHER COSTS UNIQUE TO THE ARBITRATION HEARING (RECOGNIZING THAT EACH SIDE BEARS ITS OWN DEPOSITION, WITNESS, EXPERT AND ATTORNEYS’ FEES AND OTHER EXPENSES TO THE SAME EXTENT AS IF THE MATTER WERE BEING HEARD IN COURT). NOTWITHSTANDING THE FOREGOING, THE ARBITRATOR MAY REQUIRE THAT SUCH FEES BE BORNE IN SUCH OTHER MANNER AS THE ARBITRATOR DETERMINES IS REQUIRED IN ORDER FOR THIS ARBITRATION CLAUSE TO BE ENFORCEABLE UNDER APPLICABLE LAW.  

ENTRANTS FURTHER UNDERSTAND AND AGREE THAT THEY SHALL HAVE NO RIGHT TO ENJOIN OR RESTRAIN THE DEVELOPMENT, PRODUCTION, ADVERTISING, PROMOTION, DISTRIBUTION OR EXPLOITATION OF THE SWEEPSTAKES, OR ANY MOVIE, SHOW, PRODUCTION OR PROJECT OF SPONSOR OR ANY OF ITS PARENTS, SUBSIDIARIES OR AFFILIATES.

THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS AGREEMENT WHETHER SOUNDING IN CONTRACT OR TORT, AND INCLUDING ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF.

THE INTERNAL SUBSTANTIVE LAWS (AS DISTINGUISHED FROM THE CHOICE OF LAW RULES) OF THE STATE OF CALIFORNIA AND THE UNITED STATES OF AMERICA APPLICABLE TO CONTRACTS MADE AND PERFORMED ENTIRELY IN CALIFORNIA SHALL GOVERN THE VALIDITY AND INTERPRETATION OF THESE OFFICIAL RULES AND ALL OTHER CAUSES OF ACTION (WHETHER SOUNDING IN CONTRACT OR IN TORT) ARISING OUT OF OR RELATING TO THE SWEEPSTAKES OR THESE OFFICIAL RULES.

Box 10301, Burbank, CA 91510.  All requests must be received by November 30, 2010.  Official Rules will also be accessible from the Wheel Watchers Club home page during the Sweepstakes Period.  Winners Information may be posted online.
