THIS SWEEPSTAKES IS OFFERED ONLY IN THE 50 STATES OF THE UNITED STATES (“U.S.”) AND THE DISTRICT OF COLUMBIA (“D.C.”), AND IS INTENDED FOR PARTICIPATION IN THOSE AREAS ONLY. PLEASE DO NOT PROCEED IF YOU ARE NOT AT LEAST 18 YEARS OF AGE OR OLDER AS OF DECEMBER 14, 2009 AND A PERMANENT LEGAL RESIDENT OF ONE OF THE 50 STATES OF THE U.S. OR D.C. THIS SWEEPSTAKES SHALL BE CONSTRUED AND GOVERNED ACCORDING TO THE LAWS OF THE UNITED STATES.

1. Eligibility: The Wheel Watchers Club SPIN ID Sweepstakes XX (“Sweepstakes”) is open only to permanent legal residents of the 50 states of the U.S. and D.C., who are physically located and residing therein, who are 18 years of age or older as of December 14, 2009, and who are active Wheel Watchers Club members as defined in Section 3. below. Entrants must have either a valid social security number or a valid U.S. personal tax identification to participate. Employees of Sony Electronics Inc. (“Sponsor”), Sony Pictures Television Inc., Sony Pictures Digital Inc., Sony Pictures Entertainment Inc., Sony Corporation of America Inc., CBS Television Distribution, Quadra Productions, Inc., Wheel of Fortune (“Show”), Klick Communications Inc., Promotional Consideration Inc. (“PCI”), Chase Bank USA, N.A., Sweepstakes administrator, their advertising or promotion agencies, those involved in the production, development, implementation or handling of the Sweepstakes, participating stations, any agents acting for, or on behalf of the above entities, their respective parent, subsidiary, and related companies, officers, directors, subsidiaries, affiliates, licensees, service providers, any other person or entity associated with the Sweepstakes (collectively “Sweepstakes Entities”), members of their immediate families (spouses, children, siblings, parents), and/or persons living in the same household as such persons, whether or not related, are ineligible to participate in the Sweepstakes.

2. Sweepstakes Description: The Sweepstakes begins at 11:59:59 p.m. Pacific Time (“PT”) on December 14, 2009, and ends at 11:59:59 p.m. PT on May 17, 2010 (“Sweepstakes Period”). This Sweepstakes consists of eleven (11) “individual sweepstakes” drawings, each of which has its own Registration Deadline, Show Weeks and Login Date (each referred to as an “Individual Sweepstakes”) (see Registration Deadline Chart (“Chart”) below for the registration deadline of each individual sweepstakes). To participate in the Sweepstakes, registered Wheel Watchers Club members who have a unique 7-character or 9-character “Special Prize Identification Number” (“SPIN ID Number”) will have a chance to win the SPIN ID-designated prize shown on the Show when the Sweepstakes was played. In addition, if a registered Wheel Watchers Club member officially wins a SPIN ID-designated prize (as described in Section 7.i. below) AND is a named account holder of a "Statement Active Sony Card credit card" (as defined in Section 4 below) or timely submitted a Sony Card Bonus Prize Entry (described in Section 4 below), then, in addition to a SPIN ID-designated prize, such member will win a “Sony Card Bonus Prize” as set forth in Section 7.ii. below. The potential winning of any prize is subject to verification, as set forth below. At the election of the Show, at its sole discretion, the Sweepstakes will be played up to six (6) days per week (Monday to Saturday only) starting the week of January 4, 2010, and ending the week of June 7, 2010 (for 23 weeks or the “Show Weeks”, collectively, the “Show Period”). Check local listings for Show schedule, which may be changed or preempted without notice in one or more broadcast areas (e.g., due to remote Show tapings and other changes to the production schedule, special announcements, programs that may disrupt normal TV programming, or local station programming pre-emptions). In these cases, at the election of the Show, the Sweepstakes may be played outside the above-stated dates and/or individual shows and their corresponding SPIN ID numbers may be aired on dates different than originally scheduled.

3. How to Participate: YOU MUST HAVE ONLINE ACCESS TO PARTICIPATE IN THIS SWEEPSTAKES. TO PARTICIPATE, YOU MUST HAVE A SPIN ID NUMBER. IF YOU ALREADY HAVE A SPIN ID NUMBER, YOU MUST USE THAT SPIN ID NUMBER IF YOU WANT TO PARTICIPATE IN THIS SWEEPSTAKES UNLESS YOU CHOOSE OR HAVE CHOSEN TO OPT OUT OF SUBSEQUENT SWEEPSTAKES OR YOU HAVE CANCELLED YOUR WHEEL WATCHERS CLUB MEMBERSHIP IN WHICH CASE YOU WILL NEED TO REGISTER FOR THE WHEEL WATCHERS CLUB AGAIN AS DESCRIBED BELOW. To be assigned a SPIN ID number, if you do not have one, you must first register for the Wheel Watchers Club.

i. Registered Wheel Watchers Club members can obtain their SPIN ID Number by logging in (with their Wheel Watchers Club Username and Password) to the Wheel Watchers Club on Sony Rewards web site located at www.sonyrewards.com/wof (“Web Site”).

ii. Sony Rewards members that Have Not opted in to become a Wheel Watchers Club member can obtain a SPIN ID Number by opting in to participate in Wheel Watchers Club activities. To opt in to participate in Wheel Watchers Club activities and receive a SPIN ID number, log in to the Web Site, click on “YOUR ACCOUNT,” click on “Update Communications Preferences” and then, checkmark the box next to “Yes, I would like to participate in Wheel Watchers Club activities and receive a SPIN ID.”

SPIN ID Numbers for these participants can be obtained by logging in to the Web Site. It may take up to 24 hours from the time a participant opts in to participate to receive a SPIN ID Number.

iii. If you are not a registered Wheel Watchers Club member, you can register by accessing the Web Site or the Wheel of Fortune web site located at www.wheeloffortune.com and following the online instructions to join the Wheel Watchers Club by providing the following information on the registration form: First Name; Last Name; Address; City; State; Zip Code; E-mail Address; Date of Birth; and your choice of Username, Password, Security Question and Answer as defined on the Sony Rewards Registration web page (collectively, “Sony Rewards Registration Information”). WHEN SUBMITTING YOUR REGISTRATION FORM, A CHECKMARK MUST BE IN THE BOX NEXT TO “YES, I WOULD LIKE TO PARTICIPATE IN WHEEL WATCHERS CLUB ACTIVITIES AND RECEIVE A SPIN ID.”

SPIN ID Numbers for these participants may be obtained from the new members’ email newsletters or by logging in to the Web Site. It may take up to 24 hours from the time a participant registers for the Wheel Watchers Club to receive a SPIN ID Number.

There is no fee to register for the Wheel Watchers Club. If a registrant is a resident of a jurisdiction that deems him/her to be a minor, he/she must obtain parental/legal guardian consent prior to registering or submitting any personally identifiable information. All Registration Information must be completed in full.

Each participant can only register and participate in this Sweepstakes under one (1) Wheel Watchers Club / Sony Rewards registration. Such registration shall consist of one (1) Username, one (1) email address, and one (1) SPIN ID number. Participants who have or attempt to have more than one (1) SPIN ID number will be disqualified from the Sweepstakes. Once an email address has been registered by a participant, that email address cannot be used by any other person for the Sweepstakes (or to register). Only the participant registered under a particular email address may participate in the Sweepstakes using that email address. Registrations received by the same person to obtain more than one (1) SPIN ID number will be disqualified.

In order to be eligible for a particular individual sweepstakes drawing, you must have registered by the Registration Deadline for that particular individual sweepstakes (see Chart below); and, YOU MUST HAVE LOGGED IN TO THE WHEEL WATCHERS CLUB WEB SITE AT LEAST ONCE SINCE THE CORRESPONDING LOGIN DATE (SEE CHART BELOW). (For example, for Individual Sweepstakes #2, you must have registered by January 4, 2010, and logged in to the Wheel Watchers Club at least once since July 4, 2009.) Each SPIN ID number is unique and any variation of even one (1) character represents a different Wheel Watchers Club member. Sponsor’s computer is the official clock for purposes of Sweepstakes participation. Proof of delivery or receipt of a registration will not be deemed by Sponsor as proof of receipt by Sponsor. Any attempted form of participation in the Sweepstakes other than as described herein is void. Limit one (1) SPIN ID number per person for the entire Wheel Watchers Club promotion.

4. 4.    How to Be Eligible for a Chance to Win a Sony Card Bonus Prize (described below in Section 7.ii.): There are two ways to be eligible for a chance to win a Sony Card Bonus Prize. 1. To be eligible via Sony Card account holder status: If you are officially declared one of the SPIN ID-designated prize winners (described in Section 7.i. below) in this Sweepstakes and if, as of 11:59:59 p.m. PT the day before your SPIN ID number was displayed on the Show, you are the “named” account holder of a "Statement Active Sony Card credit card" or you have submitted a valid Sony Card Bonus Prize Entry (described below) in accordance with these Official Rules, then, in addition to the SPIN ID-designated prize you won, you will also win a “Sony Card Bonus Prize” (subject to verification). Note: You must be the “named” account holder to be eligible for the Sony Card Bonus Prize – an authorized user who is not the “named” account holder is not eligible. A "Statement Active Sony Card credit card" is a Sony Card credit card account that has received a billing statement with at least one (1) “new charge” that resulted in new Sony Rewards points being added to the account in the 60 days immediately preceding the day the named Sony Card credit card account holder's SPIN ID number is announced on air. If you are not currently an account holder of a Sony Card, you can apply for a Sony Card by going to http://www.sonyrewards.com/en/gateway/?offerlink=srwwc and following the instructions. 2. To be eligible, should you win a SPIN ID-designated prize, to also win a Sony Card Bonus Prize without having/ applying for a Sony Card and/or meeting the “Statement Active Sony Card credit card” condition described above, legibly handprint your First Name, Last Name, Address (no P.O. Boxes), City, State, Zip, Phone Number (including area code), Email Address, and Date of Birth on a standard sized postcard (no larger than 5” x 7”), enclose it in a postage-paid business size envelope (#10), and mail it to: Sony Card Bonus Prize Entry XX, P.O. Box 7719, Burbank, CA 91510 (“Sony Card Bonus Prize Entry”). All Sony Card Bonus Prize Entry information must be completed in full. For Sony Card Bonus Prize Entry, to be eligible for a Sony Card Bonus Prize, you must be declared an Official Winner of a SPIN ID-designated prize and your Sony Card Bonus Prize Entry for this Sweepstakes must be received by 11:59:59 p.m. PT the day before your SPIN ID number was displayed on the Show. Limit one (1) Sony Card Bonus Prize Entry per mailing envelope. If you have submitted a Sony Card Bonus Entry for a previous Wheel Watchers Club SPIN ID Sweepstakes, that Sony Card Bonus Entry will not be retained for this Sweepstakes. Limit one (1) Sony Card Bonus Prize Entry per person for this Sweepstakes. Applying for or possessing an activated Sony Card credit card does not improve one’s chances of winning a Sony Card Bonus Prize.

5. Drawing of SPIN ID numbers: For each Individual Sweepstakes drawing, up to six (6) SPIN ID numbers for each Show Week (one (1) SPIN ID number for each day from Monday to Saturday only) (described in Section 6 below) will be randomly selected from all eligible SPIN ID numbers at the time of the Registration Deadline for that particular Individual Sweepstakes (see Chart above). Non-winning eligible SPIN ID numbers from previous drawings will be retained for subsequent drawings. All drawings will be held on the day immediately following the respective Registration Deadline (beginning December 15, 2009), by the Sweepstakes administrator, an independent judging organization, at their offices in Burbank, CA. At the election of the Show, at its sole discretion, a drawing may not be conducted on a given drawing date due to production exigencies. For those instances in which a drawing is not conducted on a given drawing date, additional selections will be made in the prior or subsequent drawing or on a new drawing date determined by Sponsor at its sole discretion.

6. Notification and Verification of Potential Winners: For each Show Week, the Sweepstakes will be played in up to six (6) of the Show’s broadcasts (Monday to Saturday only), at Sponsor’s sole discretion. On each of such Show broadcasts in which the Show is played (Monday through Saturday only), the one (1) SPIN ID number that was randomly selected in the Individual Sweepstakes drawing for that particular Show will be displayed on screen during the Show immediately after the SPIN ID-designated Prize Puzzle. The registrant associated with a displayed SPIN ID number is a potential winner (subject to verification and compliance with the Official Rules) and must then confirm his/her SPIN ID number was displayed by logging in to the Web Site, clicking on “Visit Official Club Page,” clicking on the “Did My SPIN ID Win?” textlink and completing (and thereafter submitting) the information requested to “Verify Your SPIN ID.” Registrants can also verify by accessing the Wheel of Fortune web site and clicking the “VERIFY” button in the upper right hand corner under “Think you saw your SPIN ID on TV?” Registrant must complete this online verification process within 24 hours of the display of his/her SPIN ID number (“Online SPIN ID Verification”) on the Show. If such registrant does not complete such Online SPIN ID Verification within 24 hours or has unsubscribed from Sony Rewards or Wheel Watchers Club membership at the time the Sweepstakes is played, he/she may be disqualified and forfeit any eligibility for that prize. Upon submission of Online SPIN ID Verification information, registrant will be notified as to whether he/she is a potential winner. IT IS A POTENTIAL WINNER’S RESPONSIBILITY TO COMPLETE ONLINE VERIFICATION WITHIN THE CORESPONDING 24 HOUR VERIFICATION PERIOD TO BE ELIGIBLE FOR A PRIZE. NOTE: THE ABILITY TO COMPLETE ONLINE SPIN ID VERIFICATION BY A REGISTRANT WHOSE SPIN ID NUMBER WAS DISPLAYED ON THE SHOW MAY BE AFFECTED IF A SHOW THAT WAS ORIGINALLY SCHEDULED TO AIR ON A PARTICULAR DATE IS MOVED (REGIONALLY OR NATIONALLY) TO ANOTHER DATE, AS DESCRIBED IN SECTION 2 ABOVE. Eligible participants can only win for a particular Show by watching the Show on the date it was aired for the particular market in which they reside. If the registrant is a potential winner, such potential winner (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) will then be notified by phone within approximately three (3) business days of the date he/she completed his/her Online SPIN ID Verification to complete an Affidavit/Release (described below in Section 8). If a potential winner cannot be reached after a reasonable effort has been exerted, if he/she is found to be ineligible, or if he/she cannot or does not comply with these Official Rules, such potential winner will be disqualified, and the prize will not be awarded.

7.   Prizes/Odds of Winning. There are two (2) types of prizes: SPIN ID-designated prizes and Sony Card Bonus Prizes. If the Show is playing teams, only a single version of the SPIN ID-designated prize will be awarded in this Sweepstakes for that particular Show. At no time will more then one (1) SPIN ID-designated prize be awarded in this Sweepstakes for a given Show.

i.   Up to one hundred thirty eight (138) SPIN ID-designated prizes (up to six (6) SPIN ID-designated prizes for each of the twenty three (23) Show Weeks of the Show Period). The SPIN ID-designated prize awarded for a given Show when the Sweepstakes is played will match the SPIN ID-designated prize featured on the Show, which is made a part of these Official Rules and incorporated herein by reference. SPIN ID-designated prize can either be a single trip (or a single trip gift certificate), or gift certificates/shopping spree, as determined by Sponsor at its sole discretion. Approximate Retail Value (“ARV”) of each SPIN ID-designated prize: $5,000 - $15,000. Number of SPIN ID-designated prizes awarded depends on the number of times Sweepstakes is played and the number of Wheel Watchers Club members with SPIN ID numbers that were displayed on Show who complete the verification of their eligibility as described in Section 6 above. Travel-related prize conditions: The ARVs vary depending upon the point of departure, destination, fare fluctuation, and number of travelers allowed in the prize package - additional compensation will not be provided if value is less than the stated ARV. The ARVs are furnished by the travel prize suppliers. Sponsor reserves the right to award “as is” and to structure travel route in its sole discretion. If a Travel-related prize winner chooses to take more guests than allotted for the prize won, Sponsor is not responsible for arranging or booking such additional travel arrangements. If a prize allows for one or more guests and such winner chooses to travel alone, the remaining elements of the trip shall be awarded for a single traveler and constitute full satisfaction of said prize and additional compensation will not be provided. The destination awarded may not be exchanged for another destination except by Sponsor in its sole discretion. When air transportation is included, the round trip coach air transportation element will generally begin and end at a major commercial U.S. airport near winner’s hometown (at Sponsor’s sole discretion) or in some cases from selected gateways as designated in the prize package. At Sponsor’s sole discretion, air transportation may not be provided if a winner lives within 100 miles of the specified destination. Each trip must be completed within one (1) year from Show airdate, unless otherwise stated in the documents provided to winner by prize coordinator/supplier. Also, unless otherwise stated in the documents provided to winner by prize coordinator/supplier, trip reservations must be requested in writing at least twelve (12) weeks (sixteen (16) to twenty (20) weeks, if a cruise) prior to desired departure dates. All trips are subject to air/ground travel availability, hotel availability, and black-out dates and are subject to the specific terms and conditions set forth by travel prize suppliers and Sponsor. Peak periods and weeks with holidays are not available. Once travel has been confirmed, any cancellation or change fees or restructuring of travel are the sole responsibility of such winner. For all trips including hotel accommodations, such winner must have/present at least one major credit card in good standing in order to check into room. If event/excursion tickets are provided, such tickets are subject to availability and may not be available on travel dates selected by such winner. If meals are provided, alcohol is not included. If spending cash is provided for a trip, monies will be provided in U.S. dollars in the form of a check made out to such winner. If a trip has a rental car component, such winner and/or a guest (if applicable) must have a valid U.S. driver’s license, be 25 years of age or older, and have at least one major credit card in good standing. In the event a winner or a trip travel guest does not have a valid U.S. driver’s license, is under 25 years of age, or does not have at least one major credit card in good standing, then any applicable rental car component of a prize will be forfeited, and remaining elements of trip shall constitute full satisfaction of said prize. If a trip has a guest component, such winner and guest(s) must travel together on the same itinerary. If a component of a prize is not available during time of such winner’s trip for whatever reason (e.g., weather conditions, etc.), that portion of the prize will be forfeited, and no compensation will be awarded in lieu thereof. Items not specifically mentioned as being included as part of a prize are the sole responsibility of each winner and his/her guest(s), if applicable, and may include, but are not limited to, ground transportation to and from airport, port tax, airport tax, travel tax, travel insurance, room service, laundry service, spa treatments, meals, alcoholic beverages, hotel incidentals, local and long distance telephone calls, gratuities, personal items, government fees, passport fees, and all other costs and expenses not otherwise mentioned herein. Age restrictions may apply on some travel packages. If a winner is a resident of a jurisdiction that deems him/her to be a minor or if a travel prize has an age restriction for such prize winner, he/she must be accompanied by his/her parent/legal guardian, and such person must make his/her own travel arrangements and pay his/her own expenses unless deemed to be an allotted travel guest (provided that prize includes a guest component). If a trip has a guest component and if a travel guest is a resident of a jurisdiction that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian, and such person must make his/her own travel arrangements and pay his/her own expenses unless deemed to be the winner or an additional travel guest (if prize package includes more than one guest). Winner and guest(s) (if applicable) are solely responsible for providing all necessary identification documents and/or proof of citizenship and (if applicable) will be responsible for obtaining all necessary travel documents, including passports and visas. Failure to provide such documents may result in trip cancellation upon airport check-in. Gift certificate / shopping spree prize conditions: Gift certificate subject to stated terms and conditions. Gift certificate / shopping spree to be used at designated store(s). If designated store(s) are not within a 100 mile radius of such winner’s home, alternate store(s) may be provided or a substitute prize of comparable value will be awarded in lieu thereof. Prize conditions may be added or modified by companies providing those portions of a SPIN ID-designated prize.

ii. Up to one hundred thirty eight (138) Sony Card Bonus Prizes (up to six (6) Sony Card Bonus Prizes for each of the twenty three (23) Show Weeks of the Show Period).   The Sony Card Bonus Prize is $50,000. A Sony Card Bonus Prize can only be awarded to a SPIN ID-designated prize winner in this Sweepstakes who is a named account holder of a "Statement Active Sony Card credit card" (as defined in Section 4 above) or who has submitted a valid Sony Card Bonus Prize Entry in accordance with these Official Rules. Sony Card Bonus Prize will be awarded in the form of check made out to the Sony Card Bonus Prize winner. Sony Card Bonus Prizes will be delivered to Sony Card Bonus Prize winners within 90 days of notification of winning and to addresses within the 50 states of the U.S. or D.C. only.

Total ARV of all prizes is up to $8,970,000. Odds of winning a prize depend on the number of eligible registrations at the time of the Registration Deadline for that particular individual sweepstakes drawing. Items not specifically mentioned as being included as part of a prize are the sole responsibility of each winner. The prize restrictions/conditions stated herein are not all-inclusive and may be subject to additional restrictions/conditions, which may be stated in the Affidavit/Release (described below) and/or prize travel documents. Terms of Affidavit/Release and any documents provided by prize suppliers or other Sweepstakes Entities are incorporated herein by reference. All applicable federal, state, and local taxes on a prize are the sole responsibility of each winner. No substitution, transfer, or redemption of any prize for cash, except that Sponsor, at its sole discretion, may substitute a prize of equal value due to unavailability of advertised prize for any reason (e.g., change in supplier of a SPIN ID-designated prize). Any depictions of prizes are for illustrative purposes only. Unclaimed prizes of any kind will not be awarded. Limit one (1) SPIN ID-designated prize and one (1) Sony Card Bonus Prize per household per 30-day period of the entire Wheel Watchers Club SPIN ID Sweepstakes Period. Each winner will receive an IRS Form 1099 from the Sponsor (for the calendar year the prize was received (Jet Ski, home gym, loaded credit card, Sony electronics, scooter, gift certificate, and/or Sony Card Bonus Prize) and/or reservation(s) made (trip, resort time share, airline miles) for the total ARV of the prize(s) as determined by the prize coordinator/supplier, or Sponsor (for Sony Card Bonus Prizes), as applicable. If a winner chooses to forfeit his/her prize and thus not receive a 1099, he/she must do so prior to receiving the prize as described in the preceding sentence. Sweepstakes administrator is not the supplier or guarantor of any prize.

8. General Conditions: This Sweepstakes is subject to these Official Rules and all federal, state and local laws and regulations (collectively “Rules and Laws”). Each potential SPIN ID-designated prize winner (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor), after he/she has successfully completed Online SPIN ID Verification, will be required to sign, execute, have notarized, and return the original unmodified Affidavit of Eligibility, Liability Release, and Publicity Release, and any other documentation that the Sweepstakes administrator and/or Sponsor may require (collectively “Affidavit/Release”), within five (5) days after receipt or such potential winner may be disqualified. If a winner is a resident of a jurisdiction that deems him/her to be a minor, such winner’s prize may be awarded in the name of his/her parent/legal guardian. If a prize contains a travel guest element, guest (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) of such potential prize winner will be required to execute, have notarized, and return the original unmodified Liability Release and Publicity Release, and any other documentation that the Sweepstakes administrator and/or Sponsor requires (“Guest Releases”) within five (5) days after receipt by such potential winner. By returning a completed Affidavit/Release and, if applicable, Guest Release, such winner and guest, respectively, attest to the provisions stated therein including compliance with these Official Rules. Once submitted, any Registration and/or Sony Card Bonus Prize Entry Information become the sole property of Sponsor. Notwithstanding anything to the contrary in the Sony Rewards privacy policy located http://www.sonyrewards.com/en/footer/privacy_legal/ and http://www.sonyrewards.com/en/footer/california_privacy/, except where prohibited by law, a participant who submitted his/her Registration Information and/or a winner’s acceptance of a prize by a participant constitutes permission of such registrant or winner (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) for Sponsor, Sony Electronics Inc., Sony Pictures Entertainment Inc., Sony Pictures Digital Inc., and/or Sony Corporation of America Inc., to use, without notice or further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, including, but not limited to, without limitation, on the Wheel of Fortune or Sony Rewards Web site, winner’s first name and initial of last name, city and state. In addition, except where prohibited by law, the completion of an Affidavit/Release by a winner and, if applicable, a Guest Release by his/her travel guest constitutes permission of such winner and travel guest (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) for Sponsor, Sony Electronics Inc., Sony Pictures Entertainment Inc., Sony Pictures Digital Inc., and/or Sony Corporation of America Inc., to use, without notice or further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, including, but not limited to, without limitation, on the Wheel of Fortune or the Sony Rewards web site, and on the Show, such winner’s and his/her travel guest’s full name, city, state, likeness, voice, photos, videos, biographical information and statements made by such winner and his/her guest for purposes of advertising, trade, promotion and publicity. Additionally, if an entrant chooses to opt-in to receive communications from a participating Sweepstakes Entity, his/her Registration Information will be subject to that Sweepstakes Entity’s privacy policy and terms of service (if applicable), and such entrant agrees to receive additional email communication from that particular Sweepstakes Entity. Opting in to receive communications does not improve one’s chances of winning any prize. The privacy policy for any Sweepstakes Entity participating in an opt-in will be accessible from the Wheel Watchers Club on Sony Rewards registration form. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the registration process or the operation of the Sweepstakes or any Web page related to the Sweepstakes; to be acting in violation of the Official Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person in connection with the Sweepstakes. Any person attempting to defraud or in any way tamper with this Sweepstakes will be ineligible to win any prize and will be prosecuted to the full extent of the law. If, for any reason, the Sweepstakes is not capable of running as originally planned (e.g., Show schedule changes), Sponsor, at its sole discretion, reserves the right to cancel, suspend or modify the Sweepstakes or any portion(s) thereof; and, at its sole discretion, Sponsor may, conduct any or all of the drawings for the Sweepstakes and make prizes available in a manner that is fair, consistent, and in accordance with the spirit of the Sweepstakes. In case of a dispute over the identity of a participant who is a potential winner, the authorized account holder of the email address associated with the Username may be deemed, in Sponsor’s sole discretion, the entrant. The "authorized account holder" is deemed the natural person who is assigned to an email address by an Internet access provider, service provider or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Said owner must comply with these Official Rules and, at Sponsor’s sole discretion, may be required to provide proof of ownership of the email account. In case there is further dispute over the identity of a participant who is a potential winner, the individual associated with that SPIN ID number, according to Sponsor’s records as of the time of winning, may be deemed, in Sponsor’s sole discretion, the potential winner. Sponsor, in its sole discretion, may also choose to not award a prize if the identity of such potential winner cannot be reasonably determined.

Disclaimers: The Sweepstakes Entities are not responsible or liable for, and will deem ineligible, registrations or Sony Card Bonus Prize Entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), or for registrations and/or Registration Information or Sony Card Bonus Prize Entries that are illegible, destroyed, lost, misplaced, stolen, misdirected, postage-due, tampered with, incomplete, deleted, damaged, or otherwise not in compliance with these Official Rules. By registering or opting in to participate in this Sweepstakes, each registrant agrees and acknowledges to be bound by the Rules and Laws; as well as the decisions of the Sweepstakes administrator, which are final and binding in all respects; to waive any rights to claim ambiguity with the Rules and Laws, and that Sweepstakes Entities shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with: participation in this Sweepstakes (including, but not limited to, the preemption, cancellation, interruption of Show or any elements of Show as it relates to the Sweepstakes); changes in Show schedule which may affect the SPIN ID number displayed in a TV viewing area and a winner’s ability to complete Online SPIN ID Verification; human error; incorrect or inaccurate transcription of Registration or Sony Card Bonus Prize Entry Information; delays in the approval/disapproval of Sony Card applications; acceptance/possession and/or use/misuse of any prize awarded herein (including, but not limited to, cancellations and delays or any change by the air carrier(s), or other company or any other persons providing any of the prizes for any winner due to reasons beyond control of Sponsor and/or Sweepstakes Entities); change in an advertised SPIN ID-designated prize due to a change in the corresponding prize supplier; any technical malfunctions of the telephone network, computer online system, computer dating mechanism, computer equipment, software, internet service provider; interruption or inability to access the Sweepstakes, any Web page associated with the Sweepstakes, or any online service via the internet due to hardware or software compatibility problems; any damage to registrant’s (or any third person’s) computer and/or its contents related to or resulting from any part of this Sweepstakes; any lost/delayed/duplicate/multiple data transmissions (including those related to the assignment and/or delivery of SPIN ID numbers to members as applicable), omissions, interruptions, defects and/or any other errors or malfunctions, even if caused by the negligence of one of the Sweepstakes Entities. Registrants further agree to indemnify and hold harmless the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes due to their negligence or willful misconduct, to release all rights to bring any claim, action or proceeding against the Sweepstakes Entities, and hereby acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules.

10. ARBITRATION; WAIVER OF INJUNCTIVE RELIEF; GOVERNING LAW: ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO (i) THE SWEEPSTAKES, (ii) THE AWARDING OR REDEMPTION OF ANY PRIZES AND/OR (iii) THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THESE OFFICIAL RULES OR THEIR ENFORCEMENT ON INTERPRETATION SHALL BE GOVERENED BY AND CONSTRUED IN ACCORDANCE WITH THE SUBSTANTIVE LAWS OF THE STATE OF CALIFORNIA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS. BY SUBMITTING A SWEEPSTAKES ENTRY, EACH ENTRANT (AND HIS/HER PARENT/LEGAL GUARDIAN IF THE ENTRANT IS A MINOR IN THE JURISDICTION HE/SHE RESIDES) AGREES THAT ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THESE OFFICAL RULES, THEIR ENFORCEMENT, ARBITRABILITY OR INTERPRETATION SHALL BE SUBMITTED TO FINAL AND BINDING ARBITRATION, TO BE HELD IN LOS ANGELES, CALIFORNIA BEFORE A SINGLE ARBITRATOR, IN ACCORDANCE WITH CALIFORNIA CODE OF CIVIL PROCEDURE §§ 1280 ET SEQ. THE ARBITRATOR SHALL BE SELECTED BY MUTUAL AGREEMENT OF THE PARTIES OR, IF THE PARTIES CANNOT AGREE, THEN BY SELECTING AN ARBITRATOR FROM A LIST OF ARBITRATORS SUPPLIED BY JAMS (JUDICIAL ARBITRATION AND MEDIATION SERVICES WITH THE AGREEMENT OF THE PARTIES’ ADR SERVICES). IF THE PARTIES STILL CANNOT AGREE ON AN ARBITRATOR, THE ARBITRATOR SHALL BE APPOINTED BY THE ARBITRATION SERVICE. THE ARBITRATION SHALL BE A CONFIDENTIAL PROCEEDING, CLOSED TO THE GENERAL PUBLIC. THE ARBITRATOR SHALL ISSUE A WRITTEN OPINION STATING THE ESSENTIAL FINDINGS AND CONCLUSIONS UPON WHICH THE ARBITRATOR’S AWARD IS BASED. THE PARTIES WILL SHARE EQUALLY IN PAYMENT OF THE ARBITRATOR’S FEES AND ARBITRATION EXPENSES AND ANY OTHER COSTS UNIQUE TO THE ARBITRATION HEARING (RECOGNIZING THAT EACH SIDE BEARS ITS OWN DEPOSITION, WITNESS, EXPERT AND ATTORNEYS’ FEES AND OTHER EXPENSES TO THE SAME EXTENT AS IF THE MATTER WERE BEING HEARD IN COURT). NOTWITHSTANDING THE FOREGOING, THE ARBITRATOR MAY REQUIRE THAT SUCH FEES BE BORNE IN SUCH OTHER MANNER AS THE ARBITRATOR DETERMINES IS REQUIRED IN ORDER FOR THIS ARBITRATION CLAUSE TO BE ENFORCEABLE UNDER APPLICABLE LAW.

ENTRANTS FURTHER UNDERSTAND AND AGREE THAT THEY SHALL HAVE NO RIGHT TO ENJOIN OR RESTRAIN THE DEVELOPMENT, PRODUCTION, ADVERTISING, PROMOTION, DISTRIBUTION OR EXPLOITATION OF THE SWEEPSTAKES, OR ANY MOVIE, SHOW, PRODUCTION OR PROJECT OF SPONSOR OR ANY OF ITS PARENTS, SUBSIDIARIES OR AFFILIATES.

THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS AGREEMENT WHETHER SOUNDING IN CONTRACT OR TORT, AND INCLUDING ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF. THE PARTIES ACKNOWLEDGE THAT THE PROVISIONS OF THIS SECTION ARE CURRENTLY UNENFORCEABLE UNDER CALIFORNIA LAW BUT MUTUALLY INTEND FOR THIS SECTION TO APPLY IN THE EVENT SUCH PROVISIONS LATER BECOME ENFORCEABLE UNDER CALIFORNIA LAW.

THE INTERNAL SUBSTANTIVE LAWS (AS DISTINGUISHED FROM THE CHOICE OF LAW RULES) OF THE STATE OF CALIFORNIA AND THE UNITED STATES OF AMERICA APPLICABLE TO CONTRACTS MADE AND PERFORMED ENTIRELY IN CALIFORNIA SHALL GOVERN THE VALIDITY AND INTERPRETATION OF THESE OFFICIAL RULES AND ALL OTHER CAUSES OF ACTION (WHETHER SOUNDING IN CONTRACT OR IN TORT) ARISING OUT OF OR RELATING TO THE SWEEPSTAKES OR THESE OFFICIAL RULES.
